It is most likely a connectivity issue on your board. Use a multi-meter to check continuity between the MCU and the JTAG pins. Make sure TDI and TDO are properly connected not swapped. We generally recommend pull-ups on several of the JTAG lines.
Is the oscillator for the 2965 running? What is the LDO voltage? Have you connected VDDA and GNDA?
We have recently published a system design guideline application note that details how to connect and do a good hardware design with our parts. It is located at http://www.ti.com/lit/an/spma036/spma036.pdf. Make sure you have followed those guidelines.

IAR 6.0 should work fine with the 2965 but you may want to try upgrading as well to their latest version, I believe it is at least 6.3
